PREAMBLE

We the members of the Federal Government College Ilorin Old Students Association, for the purpose of the smooth running of the affairs of our association DO HEREBY state and agree as follows:

  • NAME:

There shall be a body to be known, called and addressed as “FEDERAL GOVERNMENT COLLEGE ILORIN, OLD STUDENTS ASSOCIATION” hereinafter referred to in this Constitution as “The Association

1.1      SCOPE OF APPLICATION

The provisions of this Constitution apply to all members of The Association and are effectively binding.

2.0       The motto of the Association is “PRO UNITATE

3.0       The Association may be affiliated to the UNITY SCHOOLS OLD STUDENTS ASSOCIATION, hereinafter referred to as “USOSA

  • The Association’s official address is at Federal Government College, Ilorin Kwara State or at such other place as may be designated by the National Executive Committee.
  • AIMS AND OBJECTIVES

The aims and objectives of the Association are as follows:

  • To promote the general welfare of members and to promote the welfare of the Federal Government College Ilorin [the College].
  • To encourage continuous links with the College, and strive to provide moral, financial and social support to the College.
  • To initiate and execute laudable programs and/or activities aimed at accelerating the overall growth and development of the College and the Association.
  • To keep the spirit of the College alive and form useful linkages between parents, teachers and other friends/well wishers of the College.
  • To be involved in such other activities that are considered to be in the best interest of the Association, its members, and the College.

6.0       MEMBERSHIP

            The following are members of the Association:

“Any person who has at any time [in time past] been a registered student of the Federal Government College Ilorin and such a person shall be referred to as an “Old Student”

    • RESTRICTIONS BARRED

There shall be no restriction or discrimination against any old student either on the grounds of age, sex, and nationality, state of origin, religion, tribe, or status.

    • ADMINISTRATION

The National Executive Committee shall be in charge of the day to day running of the Association and the administrative powers of the Association shall reside in the National Executive Committee.

    • OFFICERS OF THE NATIONAL EXECUTIVE COMMITTEE

There shall be a National Executive Committee comprising of the following officers:

  • The President
  • The Vice President
  • The General Secretary
  • The Assistant General Secretary
  • The Financial Secretary
  • The Treasurer
  • The Publicity Secretary
  • Ex – Officio Members
  •           THE PRESIDENT

The President shall:

  • Preside at all meetings of the Association
  • Be the Chief Executive of the Association
  • Be the formal representative and spokesperson of the Association
  • Ensure that all decisions and programs of the Association are well implemented
  • Be a signatory to the Association’s bank accounts
  • Perform all other functions and duties, ancillary and/or incidental to the office of the President.

7.1       THE VICE PRESIDENT
         
          The Vice President shall:

  • Perform and exercise the powers and duties of the President and  act in his absence accordingly
  • Assist on such functions and duties as may be designated by the President
  • Represent the Association as mandated or designated by the President.
  • Be a signatory to the Association’s bank accounts
    • THE GENERAL SECRETARY

The General Secretary under the over all direction of the President shall be in charge of the Secretariat of the Association and shall exercise the following duties and functions:

  • Shall on the instruction of the President or in accordance with a previous decision of the National Executive Committee summon National Executive Committee meetings, general meetings and other meetings of the Association.
  • Shall record and keep minutes of meetings including attendance and summary of all decisions taking at meetings.
  • Shall keep a register of members and an up to date list of Branches of the Association.
  • Shall be a signatory to the Association’s bank account(s).
  • Shall furnish annual returns or special reports of the activities of the Association at the Annual General Meeting of the Associations or at other meetings of the Association.
  • Shall in conjunction with the President prepare and circulate to members of the National Executive Committee the agenda for all meetings.
  • Shall be responsible for the all the records, albums, pictures, publications, commemorative items and all such other furnishings and belongings of the Association kept at the Secretariat.
  • Perform all other functions usual and connected with the office of the General Secretary.
    • THE ASSISTANT GENERAL SECRETARY

The Assistant General Secretary shall:

  • Perform the duties of the General Secretary in the latter’s absence.
  • Assist the General Secretary in the latter’s official duties.

7.4       THE FINANCIAL SECRETARY

          The Financial Secretary shall:

  • Be in constant touch with the Branches and their Officers to ensure that all their members pay their annual dues, subscriptions and levies as and when due.
  • Compile and circulate a list of members who have paid or are in default of such annual dues, subscriptions and levies and take steps to circulate such list to the National Executive Committee.
  • Keep records of all income and expenditure of the Association.
  • Collect membership dues and register same.
  • Pay all monies collected to the Treasurer promptly and keep records of such receipts and payments.
  • Give recommendations to the Executive Committee on all dues, levies fees and charges payable by the members of the Association.
  • Be a signatory to the Association’s bank accounts
  •  
  • Perform all other such functions usual and connected with the office of the Financial Secretary.
    • THE TREASURER

The Treasurer shall:

  • Receive, collect and pay to the Association’s bankers all monies collected for the Association or paid to the Association from any source whatsoever.
  • Carry out any decision or directive of the Annual General Meeting in matters relating to the budget of finances of the Association.
  • Prepare or cause to be prepared and submitted to meetings of the National Executive Committee an annual budget containing the estimated revenue and expenditure of the Association for the period of the approved financial year.
  • Invest the monies of the Association in such instruments as may be approved by the National Executive Committee.
  • Submit an annual report to the General Meeting to which shall be attached the audited accounts and balance sheet for the preceding year.
  • Circulate to every member of the National Executive Committee the audited accounts and financial statement for the preceding year.
  • Be a signatory to the Association’s bank account.
  • Perform all other duties as may be assigned by the President or the National Executive Committee or the General Meeting.
    • THE PUBLICITY SECRETARY

The Publicity Secretary shall:

  • Ensure adequate and prompt publicity of the activities of the Association.
  • Present a good and progressive image of the Association to the public.
  • Issue releases and statements on matters of general interest to the Association and the public after consultation with the President or the National Executive Committee.
  • Be the vanguard of the Association’s drive to enlist members.
  • Supervise the maintenance of the Association’s website and other web based resources and is responsible for regular uploading and downloading of information and such other contributions to make the website educative, informative and entertaining.
  • Act as Editor In Chief of the Association’s magazine, journal, newsletter and other publications.
  • Perform such other functions usual and incidental to the office of the Publicity Secretary.
    • EX-OFFICIO MEMBERS

Ex-Officio members of the Association shall comprise of Past Presidents of the Association, Current Branch Chairmen and such other member[s] not exceeding three as may be elected by members at the Annual General Meeting. The tenure of office for Ex-Officio members shall run concurrently with that of other members of the National Executive Committee.

    • ELECTION OF OFFICERS AND TENURE OF OFFICE

Election of officers in to the National Executive Committee shall be held every 2 years at the Annual General Meeting/ delegates meeting of members of the Association. Members of the National Executive Committee are only eligible for re-election for a further term of two years.

    • ELECTORAL COMMITTEE

There shall be a body to be known as the Electoral Committee and shall be responsible for the conduct of elections into the National Executive Committee. Members of the Committee [not exceeding five] shall comprise of members duly nominated at the Annual General Meeting of members.

    • CONDUCT OF ELECTIONS
  • Each branch as accredited by the Executive Committee shall nominate up to 10 of its members as delegates who shall vote on behalf of the branch at elections into office(s) of the Executive Committee.
  • Prospective candidates for election into the National Executive Committee must have fully paid all dues imposed by the National Executive Committee.
  • There shall be no voting by proxy and the voting process shall be fair and transparent.

8.0       AD-HOC COMMITTEES

The Executive Committee may constitute committees to deal with such issues and matters as circumstances may dictate; and the Committees so constituted shall have such powers and exercise such functions as the Executive Committee may determine.

Membership of each Committee shall be determined by the Executive Committee from time to time and on the completion of the duties and work of the ad-hoc committee the committee shall issue a comprehensive report of its activities to the Executive Committee.

    • REMOVAL FROM OFFICE OF MEMBERS OF THE EXECUTIVE COMMITTEE
  • Where it is discovered that a member of the Executive Committee has acted in contravention of the provisions of this Constitution or has conducted himself in a fraudulent or deceitful manner, a report against the conduct of such member of the Executive Committee shall be made in writing, by a member to the General Secretary who shall forward same to the Executive Committee for deliberation.
  • Where it is the General Secretary that has conducted himself/herself in a fraudulent or deceitful manner , or who has acted in contravention of the Constitution, a report against his/her conduct should be made directly to the President.
  • On the receipt of such a report the President shall constitute an ad-hoc committee to investigate the contents of the report and recommendations to the President.
  • The President with the support of the Executive Committee shall act on the report based on the recommendations of the ad-hoc committee.
    • VACANCY

An office of the Executive Committee becomes vacant on account of death, resignation, permanent incapacitation, or removal of the office holder.

    • FILLING OF VACANCIES

Where an office becomes vacant, the next in precedence or the Vice- [if any] shall automatically fill the vacancy for the unexpired term of office of the last holder; in the event however that there is no vice or next in precedence, bye elections should be conducted as soon as possible to fill existing vacancies.

    • MEETINGS

There shall be a general meeting of all members of the Association to be held once in each calendar year, subject however to a 21 day notice published in a National Newspaper of wide circulation in addition to notices dispatched to all members.

There shall also be an annual general meeting/delegates meeting every two years for the purpose of delegates electing officers of the National Executive Committee.

    • EXTRA ORDINARY GENERAL MEETING
  • An Extra-ordinary General Meeting may be summoned by the National Executive Committee as may be deemed necessary subject to at least 21 days notice being given.
  • Upon a written requisition, signed by at least 25 members for the holding of an Extra-ordinary General Meeting in which the requisition shall specify the reason for the meeting, the National Executive Committee giving at least 21 days notice shall summon a General Meeting for the discussion of the matter specified, provided that no other matter shall be discussed at such meetings.
    • EXECUTIVE COMMITTEE MEETINGS

The Executive Committee shall meet quarterly every year.

9.0       QUORUM

          The quorum at meetings of the Association shall be as follows:

  • For any Annual General Meeting, the quorum shall be 50 members.
  • For an Executive Committee meeting, the quorum shall be five members.
  • For other Committees the quorum shall be by a simple majority.
  • For the Annual General Meeting/Delegates Meeting the quorum shall be by a simple majority.
    • PRESIDENT’S CASTING VOTE

The President shall have a right to a casting vote in addition to his ordinary vote at both Annual General Meetings and National Executive Committee meetings of the Association.

    • FUNDS OF THE ASSOCIATION

The funds of the Association may be derived from the following sources namely:- 

  • Annual dues as approved by the National Executive Committee
  • Grants
  • Donations
  • Endowment funds as may be approved by the National Executive Committee
  • Investments of the Association as approved by the National Executive Committee.
    • FINANCE
  • All monies belonging to the Association shall be kept in its name with such reputable bankers as the National Executive Committee may appoint.
  • The signatories to the Association’s accounts shall be in two categories: Category A: comprising of the President, Vice-President and the General Secretary, Category B: comprising of the Treasurer and the Financial Secretary. Cheques or payment mandates of the Association shall be jointly executed by two signatories who shall comprise of one signatory from category A, and the other from category B in descending order of precedence as stated in this clause.
  • No expenditure shall be incurred for any purpose unless such expenditure falls within the Budget of the Association or has been approved by the National Executive Committee.
    • BRANCHES OF THE ASSOCIATION
  • Members residing in any town or city in or outside Nigeria are entitled to form a branch with the approval of the National Executive Committee.
  • Members in an institution of higher learning are entitled to form a sub-branch with the approval of the National Executive Committee.
    • TRUSTEES
  • The Association shall have trustees who shall, in the first instance, be appointed by the first Interim National Executive Committee of the Association and the number of such trustees shall not be less than two but not more than seven.
  • The Trustees shall be old students of good standing, who are willing to provide sufficient commitment to the aims and objectives of the Association.
  • Trustees shall hold office for a term of five years but a Trustee shall cease to hold office if he: i.          resigns from office, ii. becomes insane, iii. is officially bankrupt, iv. he is convicted of a criminal offence; v. he is recommended for removal by majority votes of members at general meetings.
  • The Trustees are to hold all properties of the Association in trust for the benefit of the Association and to ensure that the affairs of the Association are rightly conducted in accordance with the aims and objectives of the Association.
  • Upon vacancy occurring in the number of trustees, such vacancy shall be filled at the next Annual General Meeting of the Association.
  • The Trustees shall have a common seal which will be kept in the custody of the General Secretary who shall produce it when required for use by the Trustees.
  • All documents shall be executed by any two Trustees and sealed with the Common Seal.
  • The quorum for meetings of Trustees shall be three
  • The Trustees shall appoint one of their members as Chairman provided that where the Chairman is absent; any other member may be called upon to preside at meetings. The trustees shall also appoint one of their members as secretary.
  • All matters shall be determined by a majority of votes of the Trustees present and voting.
  • The Trustees shall provide and keep a minute book in which shall be pasted written minutes of the proceedings of meetings of the Trustees. 
    • SPECIAL CLAUSE
  • The income and property of the Federal Government College Ilorin Old Students Association shall be solely applied towards the promotion of the objects of the Association, as set forth in this Constitution and no portion thereof shall be paid or transferred directly or indirectly by way of dividend bonus, or otherwise however by way of profit to the members of the Association.
  • Provided that nothing herein shall prevent the payment in good faith of reasonable and proper remuneration to any officer or servant of the Association in return for any service actually rendered to the Association, but so that no member of the Executive Committee shall be appointed to any salaried office of the Association or any other office of the Association paid by fees, and that no remuneration or other benefit in money or monies shall be given by the Registered Trustees or the Executive Committee except for the repayment of out-of-pocket expenses, or reasonable and proper rent for premises demised in favour of the Association.
  • No addition, alteration or amendment shall be made to this Constitution for the time being in force except by 2/3 of members present at the annual general meeting of the Association with at least 21 days notice being given to members prior to such addition, amendment, or alteration.
  • In the event of the winding up or dissolution of the Association, if it remains after satisfaction of all its debts and liabilities any property whatsoever, the same shall not be paid to or distributed among members of the Associations, but shall be given or transferred to some other institutions having objects similar to the objects of the Association.
  • The Association’s account shall be audited at the end of every financial year starting from 1st of October to 30th of September of each year details of which shall be presented at the Annual General Meeting.
    • CITATION

The Constitution may be cited as the Constitution of the Federal Government College Ilorin Old Students Association.

    • COMMENCEMENT

This Constitution comes into effect on the ------ day of --------------------- 2011.
